These Terms of Service (“Terms”) govern your use of the Procure Nerds website (https://procurenerds.com) and all related products, templates, toolkits, communications, and services (“Services”) provided by us. By accessing our site or purchasing a digital product, you agree to be bound by these Terms.

1. Acceptance of Terms

By using this website or purchasing our products, you accept these Terms in full. If you disagree with any part of the Terms, do not use our site or services.

2. Eligibility

You must be at least 18 years old to use this website and purchase products. By using this site, you confirm that you are of legal age and have the authority to enter into these Terms.

3. Intellectual Property Rights

All content—including templates, checklists, dashboards, toolkits, guides, branding, and any derivative work—is the sole intellectual property of Procure Nerds and protected under Romanian and international copyright and trademark laws.

You may not copy, reproduce, modify, republish, upload, transmit, distribute, sell, or exploit any material without our express written permission. Unauthorized use may result in legal action.

4. Licensing Terms

When you purchase a digital product, you are granted a non-exclusive, non-transferable license for individual or internal business use only. Redistribution, reselling, sublicensing, or sharing license keys or download access is strictly prohibited.

Consultants, agencies, or trainers may not reuse products for client deliverables or workshops without obtaining an extended commercial license from us in writing.

5. License Enforcement & Audit Rights

We reserve the right to audit usage in case of suspected unauthorized distribution or license violations. Violators may have their access revoked and be subject to civil or criminal penalties under intellectual property law.

6. Payments and Taxes

All prices are listed in USD unless otherwise noted. Payments are processed via Stripe, Gumroad, or WooCommerce. You are responsible for any applicable VAT or local taxes based on your billing region.

7. Refund Policy

All digital product sales are final. No refunds will be issued once a file has been accessed or downloaded. If a file is corrupted or you are unable to access it, contact zvi@procurenerds.com within 7 days of purchase for support.

8. User Conduct

You agree not to engage in harmful or unlawful activities, including scraping, reverse engineering, sharing access credentials, removing copyright notices, or misusing our materials in any way. We may suspend or terminate your access without prior notice if you breach these terms.

9. Third-Party Tools

Our platform integrates with third-party services like Beehiiv, Stripe, Gumroad, and WooCommerce. Your data may be shared with these services solely to provide our functionality and is subject to their respective terms and privacy policies.

10. Affiliate Links (Disclosure)

We may include affiliate links to third-party platforms or tools. This means we may earn a small commission—at no extra cost to you—if you purchase through these links. We only promote tools we genuinely use or recommend.

11. Disclaimers

All content is provided “as is” without any warranties or guarantees of fitness for a particular purpose or business outcome. You assume all responsibility for how you use the products and services provided through this platform.

12. Limitation of Liability

To the maximum extent allowed by law, Procure Nerds shall not be liable for any indirect, incidental, consequential, or special damages resulting from your use of the site or products. Our total liability shall not exceed the amount paid for the specific product in question.

We are not liable for any delay or failure in performance caused by circumstances beyond our control, including but not limited to natural disasters, internet outages, software failure, third-party platform interruptions, or legal restrictions.

These Terms are governed by the laws of Romania. Any dispute or claim arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of Romanian courts.

16. Entire Agreement

These Terms constitute the entire agreement between you and Procure Nerds with respect to the Services and supersede any prior agreements or understandings, written or oral.
